Please read these Terms & Conditions carefully before engaging OM Digital’s services. By commissioning work or using our website, you agree to be bound by these terms.

01 Agreement to Terms

These Terms & Conditions (“Terms”) govern the relationship between OM Digital (“we”, “us”, “our”) and any client or website visitor (“you”). By engaging our services, submitting an enquiry, or using our website, you confirm that you have read, understood and agree to these Terms.

OM Digital reserves the right to update these Terms at any time. The most current version will always be available on our website. Continued engagement with our services following any change constitutes acceptance.

02 Our Services

OM Digital provides the following services, subject to agreement and payment:

  • Website design and development (including WordPress and Shopify)
  • Search engine optimisation (SEO)
  • eCommerce development and support
  • Web hosting and domain management
  • Digital marketing strategy and consultancy
  • SEO audits and website reviews

The specific scope of work for each project will be confirmed in writing via a proposal or statement of work before work commences. We reserve the right to decline any project at our discretion.

03 Quotes & Fees

Quotes

All quotes provided by OM Digital are valid for 30 days from the date of issue. Quotes are based on the project scope as described at the time of enquiry. Any changes to scope after a quote has been accepted may result in revised pricing.

Pricing

All prices are in British Pounds (GBP) and exclude VAT where applicable. OM Digital will clearly indicate whether VAT applies at the point of quote. We reserve the right to review and adjust our pricing at any time for new projects.

Additional Work

Any work requested outside the agreed project scope will be quoted separately and requires written approval before it is undertaken.

04 Payment Terms

Deposit

A non-refundable deposit of 50% of the total project fee is required before any work begins. This secures your project slot in our schedule.

Final Payment

The remaining balance is due upon project completion, before the final website goes live or deliverables are handed over. Ongoing services (e.g. hosting, SEO retainers) are invoiced monthly in advance.

Late Payment

Invoices are due within 14 days of issue. Overdue invoices may incur a late payment charge of 5% per month in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend work or services on accounts with outstanding balances.

Refunds

Deposits are non-refundable. Refunds for work already completed are not provided. If a project is cancelled by the client after work has commenced, payment is due for all work completed to that point.

05 Project Process & Timelines

Estimated project timelines are provided in good faith and are contingent on the timely provision of content, feedback and approvals from the client. OM Digital will not be held responsible for delays caused by:

  • Late or incomplete content provided by the client
  • Delayed feedback or approvals
  • Third-party services outside our control (e.g. domain registrars, hosting providers)
  • Force majeure events

We will provide a reasonable number of revision rounds as outlined in your project proposal. Additional revisions beyond the agreed scope will be chargeable.

06 Client Responsibilities

To enable us to deliver your project effectively, you agree to:

  • Provide accurate, complete and timely information, content and materials
  • Ensure all content provided is your own or that you have the right to use it
  • Respond to queries and review requests within agreed timeframes
  • Ensure that a designated point of contact is available throughout the project
  • Promptly notify us of any changes to your requirements or business

You are solely responsible for ensuring that the content on your website complies with all applicable laws, regulations and third-party rights, including advertising standards, data protection law and copyright.

07 Intellectual Property

Client Content

You retain ownership of all content, images, logos and materials you provide to us. You grant OM Digital a licence to use these materials solely for the purpose of delivering the agreed services.

Completed Work

Upon receipt of full and final payment, ownership of the completed website design and custom code transfers to you. Until payment is received in full, all work remains the intellectual property of OM Digital.

Third-Party Assets

Websites may incorporate licensed third-party assets (fonts, stock images, plugins, themes). Licences for these assets are the client’s responsibility to maintain where applicable. OM Digital will inform you of any such assets used.

Portfolio Rights

OM Digital reserves the right to display completed work in our portfolio, case studies and marketing materials unless you request otherwise in writing.

08 Hosting Services

Where OM Digital provides web hosting:

  • Hosting fees are billed monthly or annually in advance and are non-refundable.
  • We will endeavour to maintain maximum uptime but do not guarantee 100% availability.
  • We reserve the right to suspend hosting accounts that contain illegal, malicious or abusive content.
  • Regular backups are performed as part of our managed hosting service; however, you are encouraged to maintain your own copies of your data.
  • OM Digital is not liable for data loss resulting from server failure, cyber attacks or other events outside our control.

09 SEO Services

Search engine optimisation involves techniques designed to improve a website’s visibility in organic search results. You acknowledge and agree that:

  • OM Digital cannot guarantee specific rankings or positions in search engine results pages (SERPs).
  • Search engine algorithms change frequently and results may fluctuate.
  • SEO is a long-term strategy; results may take several months to become apparent.
  • We implement only ethical, “white-hat” SEO practices in line with search engine guidelines.
  • We are not responsible for any penalties applied by search engines as a result of changes to their algorithms or policies.

10 Limitation of Liability

To the fullest extent permitted by law:

  • OM Digital’s total liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
  • We shall not be liable for any indirect, consequential, special or incidental loss, including loss of profits, revenue, business opportunity or data.
  • We are not responsible for losses arising from your failure to provide accurate information or to fulfil your obligations under these Terms.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

11 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

OM Digital will handle all personal data in accordance with our Privacy Policy and UK GDPR.

12 Termination

Termination by Client

You may terminate a project at any time by providing written notice. You will be liable for all work completed up to the date of termination. The deposit is non-refundable.

Termination by OM Digital

We reserve the right to terminate an agreement if you: fail to make payment by the due date, breach any provision of these Terms, behave in a manner that is abusive or unreasonable, or request work that is illegal or unethical.

Ongoing Services

Ongoing services (hosting, SEO retainers) require 30 days’ written notice to cancel. No refunds are given for any portion of a prepaid billing period.

13 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

In the event of a dispute, we encourage both parties to attempt resolution through good-faith negotiation before pursuing formal legal proceedings.
